These terms apply to work carried out by The Tunnel Digital Agency of 3rd Street, Kyebando, Kampala, Uganda. Where a signed proposal or contract says something different, that document takes precedence.
Scope of Work
Every engagement starts with a written scope: what we are producing, what it includes, and what it costs. Anything not written in the scope is not included. Requests that fall outside it are quoted separately before we do them — we will not run up a bill and present it afterwards.
What We Need From You
- Content, images, logos and information in the agreed format and on time
- A single named person authorised to give approvals
- Feedback within a reasonable period at each review stage
Projects stall most often on content, not code. Where a project is delayed by more than 30 days waiting on materials from you, we may re-schedule it and re-quote if our costs have changed.
Ownership and Intellectual Property
On full payment, ownership of the final delivered work transfers to you. Domains and hosting are registered in your name, and credentials are handed over in writing. You are not tied to us to make routine changes.
Before full payment, the work remains ours. We retain ownership of our internal tools, frameworks, unused concepts and working methods. Third-party assets such as licensed fonts, stock photography, plugins and themes remain under their own licences, which pass to you where the licence permits.
You confirm that any material you supply is yours to use. If a claim arises from content you gave us, that claim is yours to answer.
Showing the Work
We may display completed work in our portfolio and refer to you as a client, unless you ask us in writing not to. If a project is confidential, tell us and we will keep it off the site.
Timelines
Dates in a proposal are estimates made in good faith on the assumption that feedback and materials arrive on schedule. We will tell you promptly if something is slipping and why.
Payment
Terms are set out in our Refund Policy: normally 50% before work begins and 50% at handover, with the deposit non-refundable once work has started. Files and credentials transfer on final payment.
Support After Handover
We fix faults in our own work free of charge for 30 days after handover. That covers things that are broken, not new features, content changes or problems caused by third-party updates or changes made by someone else after we handed over. Ongoing support can be arranged separately.
Hosting, Domains and Third-Party Services
Where we set up hosting, domains or third-party services on your behalf, those services are governed by their providers’ own terms and their uptime is outside our control. Renewals are your responsibility once credentials are with you; we will remind you where we can, but a lapsed domain is not something we can always recover.
Limits of Liability
We do not guarantee specific commercial outcomes — search rankings, sales, follower counts or revenue — because these depend on factors outside our control. Any agency promising otherwise is guessing.
Our total liability for any claim is limited to the amount you have paid us for the piece of work the claim relates to. We are not liable for indirect or consequential losses such as lost profit or lost data. Nothing here limits liability that cannot lawfully be limited.
Confidentiality
Business information you share with us stays confidential and is used only to do your work. We expect the same of our methods, pricing and internal documents. This continues after the project ends.
Ending an Engagement
Either side may end a project in writing. You pay for work completed to that point; the deposit is applied against it as set out in the Refund Policy. We may suspend or end work if payment is significantly overdue, if we are asked to do something unlawful, or if communication breaks down to the point where the project cannot proceed.
Governing Law
These terms are governed by the laws of Uganda and disputes fall to the Ugandan courts. Before going to court, both sides agree to attempt to resolve the matter directly — in our experience most disagreements are a misunderstanding about scope and can be settled in a conversation.
Changes to These Terms
We may update these terms. The version that applies to your project is the one published when your scope was agreed.
